AeA (American Electronics Association) sponsors 2 part Seminar Panel for top management and directors. First Seminar is scheduled for December 11. The panel is organized and moderated by the law firm of Iger, Koehler & Vanetik, LLP, experts in corporate governance.
Part I of this two-part series is designed for directors and senior management concerned about director liability in the post-Sarbanes world of corporate governance. Part II of this program is scheduled for February 2003. Details are forthcoming.
By April 26, 2003 the SEC must issue FINAL rules prohibiting the listing of any security of any issuer that does not comply with the new audit committee requirements:
-Auditor engagement and reporting
-Director independence
-Employee/outsider whistleblower
-protection policy implementation
-Engagement of outside legal
counsel/advisors and the company's duty to pay for such costs
There isn't much time for companies and their boards to get comfortable with their plan for compliance.
